Terms of Service

These Terms of Service (the “Terms”) are an agreement between you and Realverse LLC, doing business as Verdan (“Verdan,” “we,” “us”). They govern your use of verdan.ai, the Verdan web app, mobile app, client portal, shared links, and agent features (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you use the Service for an organization, you agree on its behalf and confirm that you have authority to do so.

Our Privacy Policy explains how we handle personal information.

Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to create an account. You agree to give accurate account information, keep your sign-in secure, and tell us promptly about any unauthorized use. You are responsible for activity under your account.

Organizations and workspaces

The Service is organized into workspaces, each belonging to an organization. The person who creates a workspace is its owner and controls it on the organization's behalf, including who can join, what role each member has, the plan, billing, and deletion. Workspace content belongs to the organization, not to the individual members who added it. Members' access ends when the organization removes them.

Acceptable use

You agree not to:

• break any law, or infringe or misappropriate anyone else's rights;
• send spam or unsolicited messages, or send texts, emails, or calls without the notices and consents the law requires;
• upload content you do not have the right to share, or content that is unlawful, deceptive, harassing, or harmful;
• access another workspace's data without permission, or probe, disrupt, or overload the Service;
• get around usage limits, security, or access controls;
• reverse engineer the Service except where the law allows it; or
• use the Service or its outputs to build a competing product.

We may suspend access that violates these rules or puts the Service or other people at risk.

Your content

You and your organization keep ownership of everything you put into the Service, including photos, scans, voice notes, messages, documents, and project data (“Customer Content”). You give Verdan a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, and display Customer Content only as needed to provide, secure, and support the Service. That includes sending it to our service providers, such as AI model providers, and to the people you choose to share it with. You confirm that you have the rights and consents needed to give us this license, including from the clients and other people whose information you add.

If you send us feedback or suggestions, we may use them without obligation to you.

AI output

The Service uses AI to generate drafts, including scopes, estimates, product suggestions, documents, transcripts, summaries, and replies. AI output can be incomplete or wrong. It is not professional engineering, legal, tax, or code-compliance advice. You are responsible for reviewing output before you rely on it, send it, or build from it. That includes prices, quantities, measurements, specifications, and anything you promise a client.

Messages the agent starts on its own wait for a person in your workspace to approve them. If your workspace uses a Verdan email address or texting number, the agent can reply in conversations with people who already work with you, and your workspace is responsible for those replies as if it had sent them.

Third-party services and integrations

The Service works with third-party services, including services you connect such as Google, Slack, WhatsApp, and lead platforms such as Thumbtack, and providers we use such as Stripe. Your use of a third-party service is governed by that provider's own terms and policies, and you are responsible for following them. We are not responsible for third-party services, and a provider may change or end its service in ways that affect Verdan features. You can disconnect an integration at any time.

Plans, billing, and cancellation

Some features require a paid plan. Plans, prices, and included usage are shown in the app when you choose a plan. Paid plans are billed monthly in advance through Stripe and renew automatically until cancelled. Plan changes may be prorated. Usage beyond your plan's allowance may be paused or billed as shown in the app. Prices do not include taxes unless stated.

You can cancel at any time. Your workspace then moves to the free plan when the paid period ends. Except where the law requires otherwise, fees are not refundable, including when a workspace is deleted. We may change prices with advance notice, and the new price takes effect at your next billing period.

Payments between pros and their clients

Workspaces can send invoices and accept payments from their clients through Verdan. These payments are processed by Stripe through a Stripe account that the workspace opens and controls, and they are subject to Stripe's terms, including the Stripe Connected Account Agreement. Verdan facilitates the payment. It is not a party to the agreement between a workspace and its client, and it is not responsible for the work, the price, refunds, or disputes between them. Verdan charges a platform fee on these payments, as disclosed in the app before you accept payments, and the fee is deducted from the payment.

Account deletion and termination

You can delete your account at any time in the app. Deleting your account anonymizes it: your sign-in, name, email address, and profile photo are removed, and so is your membership in every organization. Work you created inside an organization's projects stays with that organization as part of its records, attributed to a “Former member.” An organization owner must delete the organization before deleting their own account.

An organization owner can delete the organization. Access stops right away, the subscription is cancelled, and the owner can restore the organization for 30 days. After that, its content is erased, except for records we must keep by law.

We may suspend or end your access if you materially breach these Terms, if required by law, or if needed to protect the Service or others. Where reasonable, we will give notice first and a chance to export your content. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, and indemnity.

Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent the law allows, Verdan disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that AI output, catalog data, prices, or third-party information will be accurate or complete. Verdan does not perform, supervise, or guarantee construction work, and is not responsible for the work, products, permits, or safety on any project.

Limitation of liability

To the fullest extent the law allows, Verdan will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to the Service or these Terms. Verdan's total liability for all claims will not exceed the greater of the amount you paid Verdan in the 12 months before the claim arose, or one hundred US dollars. These limits apply whatever the legal theory, and even if we were told such damages were possible.

Indemnity

You will defend and indemnify Verdan and its members, officers, and employees against third-party claims, losses, and costs, including reasonable attorneys' fees, arising from your Customer Content, your use of the Service, your work for your clients, the messages you or your workspace send, or your breach of these Terms or the law.

Changes to these Terms

We may update these Terms as the Service changes. We will post the new version here and update the “Last updated” date. If a change is material, we will give you notice in the app or by email before it takes effect. If you keep using the Service after the change takes effect, you accept the updated Terms.

General

These Terms, together with any plan terms shown in the app, are the entire agreement between you and Verdan about the Service. If any part is found unenforceable, the rest stays in effect. If we do not enforce a provision, we have not waived it. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
